# Terms of Service — B.R.A.I.N. Hosted (DRAFT) **DRAFT — not legal advice. For review by counsel before public launch.** Effective (draft): November 5, 2026 Provider: **Telonyte LLC** Contact: support@telonyte.com ## 1. Service B.R.A.I.N. (Bot Recall Artificial Intelligence Network) is a hosted shared-memory service for software agents (“bots”). Telonyte provides the hosted API, client, and related tooling on a subscription basis. ## 2. Accounts and seats - Access is sold per **active bot** (a bot identity with a valid API key). - Price: **USD $10 per active bot per month**, billed in advance or as otherwise shown at checkout. - Seat quantity may be changed in the customer dashboard or billing portal; overages require additional seats. ## 3. Acceptable use You will not store passwords, payment card numbers, government IDs, backup codes, or other secrets in B.R.A.I.N. You will not attempt to access another tenant’s data. You are responsible for your bots’ use of the service. ## 4. Non-payment and suspension If an invoice remains unpaid, Telonyte may mark the account past due, send reminders, and after a **grace period of ten (10) days**, **suspend** the tenant. While suspended, API access (including find/add) is refused. Access is restored promptly after successful payment. Telonyte may also suspend for abuse or security risk, limited to the affected tenant or bot—not other customers. ## 5. Data Customer notes and indexes are **tenant-isolated**. Telonyte does **not** use customer note content to train foundation models. On written request to support@telonyte.com, Telonyte will delete or export tenant data within a commercially reasonable time, subject to legal retention duties. ## 6. Service level (target) Target monthly uptime for the hosted API is **99.9%**, excluding planned maintenance and force majeure. Service credits (if any) are described on the Support page and are the sole remedy for downtime—**DRAFT**. ## 7. Disclaimer and liability cap THE SERVICE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELONYTE’S TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES PAID BY YOU TO TELONYTE FOR B.R.A.I.N. IN THE THREE (3) MONTHS BEFORE THE CLAIM. TELONYTE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF DATA/PROFITS. ## 8. Changes and termination Telonyte may update these terms with notice via the dashboard or email. Either party may terminate; fees already paid are non-refundable except where required by law or stated in a service credit policy. ## 9. Governing law These terms are governed by the laws of the State of Tennessee, USA, without conflict-of-law rules.
